◆ Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Busy Bee Media, Inc. ("LocalPins," "we," "us") governing your use of the LocalPins website at localpins.co, the LocalPins software, and related services (together, the "Service"). By purchasing, installing, or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business.
◆ The Service
LocalPins provides software and tools that help businesses manage their local online presence, including features that connect to and manage Google Business Profile listings. We may add, change, or remove features at any time. We will make reasonable efforts to notify customers of material changes to the Service.
◆ Accounts & licenses
- You must provide accurate account and billing information and keep it current.
- You are responsible for safeguarding your account credentials and license keys, and for all activity under your account.
- Licenses are granted per the plan you purchase, scoped to the website, number of locations, and service area covered by that plan, and each license key may be active on one domain at a time. Licenses are non-transferable except with our written consent.
- You may not share, resell, or sublicense license keys except as expressly permitted in writing by us.
◆ Third-party connections (Google, Facebook, Instagram & others)
The Service allows you to connect third-party accounts, such as your Google Business Profile, Facebook Page, or Instagram business account. When you connect any account:
- You authorize LocalPins to access and act on that account's data as needed to provide the features you use, consistent with our Privacy Policy.
- You represent that you are authorized to connect that account — for example, that you are an owner, manager, or admin of the profile or page you connect.
- Your use of each third-party service remains governed by that service's own terms and policies (for Google, including Google's Terms of Service and Business Profile policies; for Facebook and Instagram, including Meta's Terms of Service and Platform Terms).
- You may disconnect an account at any time; some features will stop working when you do.
- We are not responsible for the availability, accuracy, or policies of third-party services, or for changes those services make to their APIs that affect Service functionality.
◆ Acceptable use
You agree not to:
- Use the Service in violation of any law or the rights of others.
- Use the Service to publish false, misleading, or fraudulent business information, fake reviews, or spam.
- Connect or manage business profiles, pages, or accounts you are not authorized to manage.
- Attempt to circumvent license validation, probe or breach the Service's security, or interfere with its operation.
- Copy, resell, or redistribute the Service, circumvent license validation, or use our trademarks, except to the extent applicable law or an applicable open-source license expressly permits.
We may suspend or terminate access for violations of this section.
◆ Payment & renewal
- Plans and pricing: LocalPins is sold as a subscription. Pricing depends on the number of locations and the size of the service area covered, as listed at purchase.
- Term: All plans require a minimum twelve (12) month agreement, billed on the schedule stated at purchase. At the end of each term, your agreement renews for a successive term unless cancelled before renewal.
- Cancellation: To cancel, email support@localpins.co before your renewal date. If you cancel during an active term, you remain responsible for the remainder of the term and retain full access to the Service through the end of that term; when the term expires, your service terminates.
- Refunds: Except where required by law, fees are non-refundable; cancelling mid-term does not entitle you to a refund of amounts already paid or relief from the remaining term.
- Payment processing: Payments are processed by Stripe or PayPal. We do not store your full payment card details.
- We may change prices with notice before your next renewal.
- Taxes are your responsibility unless we are required to collect them.
◆ Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors. "LocalPins" and associated logos are our trademarks; these Terms grant you no right to use them. Subject to these Terms and your plan, we grant you a limited, non-exclusive license to use the Service for your business purposes for the duration of your subscription. Any open-source components included in the software remain governed by their respective licenses; the LocalPins hosted services, license system, and trademarks remain our exclusive property.
◆ Your content & data
You retain all rights to your business data and content, including data from your connected Google Business Profile, Facebook Page, Instagram account, or other connected platforms. You grant us a limited license to host, process, and display that content solely to provide the Service to you. Our handling of personal information and connected-platform data is described in the Privacy Policy, which is incorporated into these Terms.
You are responsible for the content you publish through the Service (including posts, review responses, and comments) and for its compliance with applicable law and each platform's policies.
◆ Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL ACHIEVE ANY PARTICULAR SEARCH RANKING, VISIBILITY, OR BUSINESS RESULT.
◆ Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
◆ Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, with notice where practicable. Upon termination, your license to use the Service ends and we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (including IP, disclaimers, and limitation of liability) survive termination.
◆ General
- Governing law: These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Disputes will be resolved in the state and federal courts located in Jackson County, Oregon.
- Changes to Terms: We may update these Terms; we will post updates here and, for material changes, provide notice. Continued use after changes take effect constitutes acceptance.
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability & waiver: If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
